These Terms and Conditions (“Terms”) govern your access to and use of ZPL.ai, a product of UrenaTech, LLC (“ZPL.ai,” “we,” “us,” or “our”).

By creating an account, purchasing a subscription, accessing our API, or otherwise using ZPL.ai, you agree to these Terms. If you do not agree with these Terms, you may not use the Service.

1. The Service

ZPL.ai provides software and services for creating, editing, previewing, generating, managing, and processing Zebra Programming Language (ZPL) labels and related content.

Features may include visual label design, ZPL editing, templates, artificial intelligence tools, printing features, exports, APIs, and other related functionality.

We may modify, improve, add, or remove features from time to time.

2. Accounts

Some features require a ZPL.ai account.

You are responsible for:

  • Providing accurate account information
  • Keeping your login credentials secure
  • Maintaining the security of your API keys and access tokens
  • All activity performed through your account

You must notify us if you believe your account has been accessed without authorization.

3. Acceptable Use

You may not use ZPL.ai to:

  • Violate any applicable law or regulation
  • Infringe the rights of another person or organization
  • Attempt to gain unauthorized access to our systems or another user’s account
  • Distribute malware, malicious code, or harmful content
  • Interfere with or disrupt the operation or security of ZPL.ai
  • Abuse, overload, or attempt to circumvent service or API limits
  • Use automated methods to access the Service in a way that negatively affects its operation
  • Reverse engineer or attempt to obtain the source code of proprietary portions of ZPL.ai, except where permitted by law
  • Use ZPL.ai for fraudulent, deceptive, or unlawful purposes

We may suspend or terminate access when we reasonably believe these Terms have been violated.

4. Your Content

You retain ownership of the ZPL code, label designs, templates, images, data, and other content you create or upload to ZPL.ai.

You grant ZPL.ai a limited right to store, process, transmit, reproduce, and otherwise use your content only as reasonably necessary to provide and operate the Service.

You are responsible for ensuring that you have the rights and permissions necessary to use any content you upload or process through ZPL.ai.

5. Artificial Intelligence Features

ZPL.ai may provide artificial intelligence features that assist with generating, editing, or analyzing ZPL code, labels, or related content.

AI-generated results may be incomplete, inaccurate, or unsuitable for your intended use. You are responsible for reviewing and testing AI-generated content before using it in production or printing environments.

You should not rely on AI-generated results without appropriate review and validation.

6. Free Services and Trials

ZPL.ai may offer free plans, free services, promotional access, or trial periods.

Free services may have limits on features, usage, storage, exports, API requests, printing, or other functionality.

We may modify or discontinue free services at any time.

7. Paid Subscriptions

Certain ZPL.ai features require a paid subscription.

Subscription pricing, billing periods, included features, and usage limits are shown at the time of purchase or on our pricing page.

By purchasing a subscription, you authorize us and our payment processor, Stripe, to charge the applicable fees to your selected payment method.

8. Automatic Renewal

Unless otherwise stated, paid subscriptions automatically renew at the end of each billing period until canceled.

You may cancel your subscription before the next renewal date to prevent the next charge.

Cancellation stops future renewals but does not automatically provide a refund for amounts already paid, except where required by law or otherwise stated by us.

9. Pricing Changes

We may change subscription pricing or plan features from time to time.

Pricing changes affecting an existing paid subscription will generally take effect on a future billing period after reasonable notice.

10. API Usage

If your plan includes access to the ZPL.ai API, you may use the API according to your plan’s applicable usage limits.

You may not:

  • Share API keys with unauthorized users
  • Attempt to bypass API limits or security controls
  • Use the API to interfere with or overload ZPL.ai systems
  • Resell API access unless we have authorized you to do so

We may apply reasonable rate limits and other technical restrictions to protect the Service.

11. Intellectual Property

ZPL.ai, including its software, user interface, design, branding, documentation, technology, and original content, is owned by UrenaTech, LLC or its licensors and is protected by applicable intellectual property laws.

Except for the limited right to use the Service under these Terms, no ownership rights in ZPL.ai are transferred to you.

12. Feedback

If you provide suggestions, ideas, or feedback about ZPL.ai, you allow us to use that feedback to improve or develop our products and services without restriction or compensation.

13. Third-Party Services

ZPL.ai may integrate with or rely on third-party services.

We are not responsible for third-party products or services, and your use of those services may be subject to their own terms and policies.

14. Service Availability

We work to keep ZPL.ai available and reliable, but we do not guarantee uninterrupted or error-free operation.

The Service may occasionally be unavailable because of maintenance, updates, infrastructure issues, third-party failures, security events, or circumstances outside our reasonable control.

15. Disclaimer of Warranties

To the maximum extent permitted by law, ZPL.ai is provided “as is” and “as available.”

We do not guarantee that:

  • The Service will always be available or error-free
  • Generated ZPL code will work with every printer, configuration, or environment
  • AI-generated content will always be accurate
  • Labels will print exactly as expected on every printer or media type
  • The Service will meet every specific business or operational requirement

You are responsible for testing labels, ZPL code, printer settings, and integrations before using them in a production environment.

16. Limitation of Liability

To the maximum extent permitted by law, UrenaTech, LLC and ZPL.ai will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, data, or goodwill.

Our total liability arising from or relating to the Service will not exceed the amount you paid to ZPL.ai during the twelve months immediately preceding the event giving rise to the claim.

If you use only free services, our total liability will not exceed $100, to the extent permitted by applicable law.

17. Indemnification

You agree to indemnify and hold harmless UrenaTech, LLC, ZPL.ai, and their officers, employees, and affiliates from claims, damages, liabilities, and reasonable expenses arising from:

  • Your misuse of the Service
  • Your violation of these Terms
  • Your content
  • Your violation of another party’s rights

18. Suspension and Termination

You may stop using ZPL.ai at any time.

We may suspend or terminate your account if:

  • You materially violate these Terms
  • Your use creates a security or legal risk
  • Your account is used for fraudulent or abusive activity
  • Required subscription fees remain unpaid

We may also discontinue the Service or certain features, subject to applicable law.

19. Privacy

Our collection and use of personal information is governed by our Privacy Policy.

20. Changes to These Terms

We may update these Terms from time to time.

When we make changes, we will update the “Last Updated” date at the top of this page.

If changes materially affect your rights or obligations, we may provide additional notice where appropriate.

Your continued use of ZPL.ai after updated Terms become effective constitutes acceptance of the updated Terms, subject to applicable law.

21. Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to its conflict-of-law principles.

Any legal action arising from these Terms or the Service will be brought in the state courts located in New Haven County, Connecticut, or the United States District Court for the District of Connecticut, where applicable.

22. General Terms

These Terms, together with our Privacy Policy and any applicable order or subscription terms, constitute the entire agreement between you and UrenaTech, LLC regarding ZPL.ai.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

You may not assign your rights under these Terms without our consent. We may assign these Terms as part of a merger, acquisition, restructuring, or transfer of our business.
